MarineConnect offers Marine Contractors the opportunity to use its Website and App to access Leads, as well as other associated services and benefits. These written terms and conditions, along with the verbal terms and conditions that were provided to you and to which you agreed during our recorded telephone call (referred to as Verbal Terms and Conditions), encompass all the terms and conditions that govern the relationship between MarineConnect Pty Ltd, ABN 62 669 189 315, located at 35 Chesterfield Parade, BRONTE NEW SOUTH, WALES 2024, AUSTRALIA (referred to as "us," "we," or "MarineConnect") and the party mentioned in the Verbal Terms and Conditions (referred to as "you" or "your"). These terms and conditions pertain to the provision of the Product(s) specified in the Verbal Terms and Conditions and form the basis of our agreement (referred to as the "Agreement"). By providing your consent through voice recording or any other means of signifying agreement, or by utilizing the MarineConnect Website or App to list your business or obtain Leads, you acknowledge and accept the full terms and conditions that are applicable to the Agreement. This includes both the written terms and conditions presented here as well as the Verbal Terms and Conditions. Our primary responsibility to you Our primary responsibility to you is to provide and deliver the specific Product(s) outlined in the Verbal Terms and Conditions and recorded in the Key Information Email during the Introductory Term of the Agreement. Likewise, during any subsequent Renewed Term of the Agreement, we will provide the Product(s) specified in the Auto-Renewal Notice. Your obligation to us On your end, there are certain obligations you need to fulfill: 1. Provide us with an active email address to receive and send emails. 2. Provide us with an active mobile telephone number capable of receiving voice calls and SMS, or a landline number if applicable. 3. Provide us with a current and valid ABN for your business. 4. Disclose all licenses or qualifications necessary for you to accept and carry out Jobs in your selected Lead categories. 5. Successfully complete an ID check before your listing becomes active on our platform. 6. Provide accurate and up-to-date details for the bank account or credit card you have chosen for making payments according to the Agreement. Ensure that you maintain sufficient funds and/or credit in that account or on the credit card. 7. Promptly notify us of any changes to your contact details, Enquiry Email, Enquiry Number, ABN, licensing status, bank account or credit card details, or any other information required to be maintained with us. 8. Ensure your Enquiry Email and Enquiry Number are monitored by an authorized employee during business hours, and have a voicemail system available for non-business hours. 9. Accept and perform Jobs only within your licensed and qualified capacity. 10. Maintain all necessary licenses or qualifications for the selected Lead categories and promptly inform us of any changes or expiration of your current licenses or qualifications. 11. Promptly and professionally respond to customers in relation to Lead or Direct Enquiries and carry out all Jobs with due skill and care. 12. Ensure that only authorized users have access to your account and the Product. Keep your user identification and password secure, and ensure your authorized users do the same. 13. Report any unauthorized use of your account or any breach of security immediately. If someone gains unauthorized access to your account through your actions, take all necessary steps to terminate such unauthorized use. 14. Cooperate and assist with any actions taken by hipages to prevent or terminate unauthorized use of the Product. In the performance of Jobs, use of the Website, App, or any other Product, you must adhere to the following guidelines: 1. Do not make false, misleading, or illegal statements or representations to anyone. 2. Avoid engaging in unlawful, offensive, unacceptable, unprofessional, or negligent conduct. 3. Do not reproduce any copyright material or intellectual property without lawful authority. 4. Do not allow unauthorized users to access your account. We reserve the right, in our reasonable opinion, to remove any material from our Website, App, or any Directory Listing that constitutes or represents a breach of the mentioned guidelines. Regarding payments, you agree to pay the charges specified in the Verbal Terms and Conditions and recorded in the Key Information Email, as well as any additional charges incurred through the use of our Products mentioned in the written terms and conditions. Charges for our Product are generally payable in advance for the agreed billing period. Any fees overdue may result in additional collection costs. The Agreement is ongoing and will continue for the Introductory Term and subsequent Renewed Terms, unless terminated in accordance with the mentioned clause. Automatic renewal takes place at the end of each Term unless cancellation notice is provided. We will send you an Auto-Renewal Notice before the renewal date, and you will be bound by the terms and conditions contained in that notice unless you cancel prior to the renewal. Payments You agree to pay the charges for the service specified in the Verbal Terms and Conditions (and recorded in the Key Information Email) as well as any additional charges you may incur through your use of the Products as specified in these written terms and conditions. Unless otherwise specified, charges for our service are payable in advance. Any amounts payable by you, we may recover all fees and charges reasonably incurred in recovering overdue payments from you, including legal and debt recovery charges. We reserve the right to engage debt collection agents or institute legal proceedings against you to recover overdue payments. Any failure by us to charge any fee does not constitute a waiver of our right to do so, or of any other right. Privacy Our privacy policy, as varied from time to time, is incorporated into these written terms and conditions. Our privacy policy applies to your dealings with us and how we collect and use information and can be viewed on marineconnect.sydney. You consent to us collecting your personal information in accordance with the terms of our privacy policy. Liability Under the Australian Consumer Law, you are entitled to certain guarantees in relation to our supply of services to you under the Agreement which cannot be excluded, restricted or modified (Consumer Guarantees). To the extent permitted by law, our liability for failure to comply with a Consumer Guarantee is limited to, at our option, the supply of the services again or the payment of the cost of having the services supplied again. To the extent permitted by law, we have and are under no liability (howsoever arising, and whether at law, in equity, under statute or otherwise) to you for any consequential or indirect loss (including loss of profits, loss of revenue or loss of opportunity) in connection with our breach of this Agreement except to the extent caused by our gross negligence or wilful default, or that of one of our officers, employees, agents or representatives. To the extent permitted by law, you agree to indemnify us, and our officers, employees, agents and representatives, for any loss, damage, claim, liability or demand arising out of the performance, or acceptance, by you of a Job resulting from an Accepted Lead, except to the extent the loss, damage, claim, liability or demand arises out of our gross negligence or wilful default, or that of one of our officers, employees, agents or representatives. Service Availability Whilst Marine Connect intends that the service should be available 24 hours a day, seven days a week, it is possible that on occasion the platform may be unavailable to permit maintenance or other development activity to take place, or for reasons outside our control. If for any reason we have to interrupt the platform for longer than periods we would normally expect, we will use reasonable endeavors to publish in advance details of such activity, typically by email. confidentiality Each party agrees with the other not to disclose or permit to be disclosed either directly or indirectly in any manner whatsoever information of the other party which is, or which ought to be reasonably expected to be, confidential to any person other than a person to whom such disclosure is necessary to give effect to the Agreement or as required by law.
